❯ Microsoft prices $25 billion of bonds to support its capital needs

Size and terms are now fixedMicrosoft announced pricing for $25 billion of senior unsecured notes on October 29, with closing expected on November 4. Its release lists ten tranches: two floating-rate and eight fixed-rate notes, with maturities from 2028 to 2066 and fixed coupons from 4.85% to 6.35%. The issuance terms are fixed, while closing remains ahead.

Cloud revenue requires capacity investmentMicrosoft charges for subscription software such as Microsoft 365, Azure cloud services and other enterprise products. Azure customers consume computing, storage and model services; Microsoft invests in facilities, servers and networks before recovering those costs through usage. In its October 28 earnings call, the company reported quarterly Microsoft Cloud revenue of $63.9 billion, up 30% year over year, alongside $45.2 billion in capital expenditure including finance leases and $39.4 billion in cash purchases of property and equipment. Rising service demand and upfront construction costs are both visible in the results.

Corporate funding rather than a dedicated project loanThe stated use of net proceeds is general corporate purposes, potentially including working capital, capital expenditure, buybacks, acquisitions and repayment of debt. AI construction forms part of the operating context, but the full $25 billion is not earmarked for a particular AI project. Senior unsecured notes are also different from equipment loans secured by specific GPUs or a single data center.

Matching long-lived investment with borrowingMicrosoft can service corporate debt with cash generated across established software and cloud businesses, while multiple maturities spread refinancing needs. Notes extending to 2066 offer a tool for long-term capital requirements and create long-lived interest obligations. Compared with a new data-center project financed against one customer’s lease, Microsoft offers creditors the repayment capacity of the company as a whole.
