❯ Tesla and SpaceX form independent committees to explore a potential merger

The boards establish a formal processElon Musk said on SpaceX’s third-quarter earnings call that Tesla and SpaceX had each formed a special committee of independent directors to explore a merger. The Verge reported that shareholders requested the committees and that no transaction terms have been agreed.

Shared activities strengthen the case for integrationMusk pointed to potential cooperation in AI software, chip design, robotics and connectivity. Tesla’s automotive, energy-storage and robotics operations have multiple technical and commercial connections with SpaceX’s satellite connectivity, AI models and computing businesses. Merger discussions extend those relationships to ownership and governance.

Governance and voting determine the next stepsMusk said his leadership of both companies creates a conflict of interest, so he is not participating in committee discussions. He also said the Tesla side would need support from at least half of all shares, rather than just those voting. The committees must develop terms for shareholders to consider; neither a transaction structure nor a completion date has been settled.

▮ SIGNALTechnical cooperation already exists; a merger depends on how its value would be divided between the two shareholder groups.
